TERMS OF USE
1) All fees and charges mentioned in Invoices raised by Us from time to time are exclusive of Goods & Service Tax (GST) which shall be applicable additionally, as detailed in the Invoices.
2) These SaaS Terms are to be read in conjunction with and as an integral part of Bookzzy Terms of Use (“Terms of Use”) as contained in https://www.bookzzy.com/terms-of-use/ and the Bookzzy Privacy Policy (“Privacy Policy”) as contained in https://www.bookzzy.com/privacy-policy In the event of any explicit conflict between the Terms of Use and these SaaS Terms, these SaaS Terms shall prevail.
3) These SaaS Terms shall be effective immediately upon the earlier of You accessing the Bookzzy Platform or any invoice for use being issued to You/ Your authorised representative either through post or email or other mutually agreed means. Notwithstanding what is stated herein, You are deemed to have accepted these SaaS Terms at the time You or Your authorised representative access the Platform.
4) Capitalized terms used but not defined herein shall have the same meaning as contained in the Terms of Use.
5) You are provided an authorisation to use the Platform and Services, on a non-exclusive, non-transferable and revocable right to use basis.
6) The authorisation to use is granted exclusively to You, the Business entity. It shall not be used by or for the benefit of any other individual or entity. Individual users of the Business as duly authorized may access and use the Platform and Services solely on behalf of and for the benefit of the Business.
7) The SaaS usage fee shall be as advised to you from time to time and evidenced by invoices issued in this regard from time to time. Bookzzy shall have the sole discretion to revise such usage fee from time to time and fees prevalent at the time of any renewal of the usage by You shall be applicable.
8) Your subscription for usage of the Platform shall be set to auto-renewal in accordance with the fee package chosen by You, out of the available fee packages, unless you expressly choose to cancel the subscription by following the steps prescribed or choose to downgrade your package at least 1 day prior to any renewal being due. Standalone upgrades are also available for choosing additionally in the middle of a plan period and such upgrade will form part of the fee package applicable for the auto-renewal, unless expressly modified by You.
9) In the event of any downtime of the Platform (defined as the Platform not being available for use for any reasons other than any emergency outage as determined by Bookzzy or any cloud service provider or telecommunication failure) exceeding 0.1% in the aggregate during a calendar month, Your sole remedy is limited to suitable commercial credits for such downtime.
10) Violation of Terms of Use and Privacy Policy shall result in an immediate revocation of the right to use the Platform and avail of the Services, in addition to the other consequences detailed under the Terms of Use.
11) These SaaS Terms may be terminated either (i) in accordance with the Terms of Use or (ii) hereunder by Business choosing to cancel a subscription. Fees already paid would be non-refundable and any fees accrued upto the date of termination would be payable.
12) Free trial plans are offered subject to payment related information being provided including an authorisation to convert to a paid plan at the end of the trial period unless explicitly cancelled by the Business in the manner stipulated.
